A “small company” is exempt from audit if it’s private and meets 2 of 3 criteria for two consecutive financial years:

• Total annual revenue ≤ $10m
• Total assets ≤ $10m
• Number of employees ≤ 50

For group companies, both the company and entire group must qualify as “small.”
